Customer Purchase Transactions

Pricing

Whenever a customer submits a customer purchase transaction, Gold X will lock in a price for that transaction. The order price will only be locked in when the order is finally confirmed. Once the customer has successfully placed an order, the Company will immediately send the customer a "Order Confirmation" email. If the customer do not receive this "Order Confirmation" email, it means the transaction has not been completed or confirmed.

The Company has absolute discretion to accept or reject any trading instruction. If a transaction is cancelled or rejected before it is recorded, no market losses or other fees will be incurred. The Company advises customers to log in to their account within 24 hours after submitting a purchase transaction to check the status and understand all payment and settlement options.

If the customer's transaction value is HKD 150,000 or less, to lock in the purchase price in a single transaction, the customer needs to provide a valid credit card number. The customer acknowledges that providing a valid credit card number does not constitute payment, and undertakes to pay the full transaction amount by the specified time.

If the customer's transaction value exceeds HKD 150,000, to lock in the purchase price in a single transaction, the customer needs to provide a valid credit card number. The customer also needs to have at least 15% of the outstanding transaction purchase amount as settled funds in their Gold X account.

If the customer's transaction value exceeds HKD 800,000, to lock in the purchase price in a single transaction, the customer needs to provide a valid credit card number. The customer also needs to have at least 25% of the outstanding transaction purchase amount as settled funds in their Gold X account.

Purchase Transaction Payment Methods

Customers can pay by cash, cheque, bank transfer, Alipay, WeChat Pay, credit card, bank wire transfer, or settled funds in their account. The Company may refuse any payment or funds provided by a non-account holder. The Company may require additional proof documents before crediting funds to the customer's account.

For any payment method the customer chooses, such as credit card, bank transfer or other electronic payment tools, there may be related handling fees or other additional charges. These fees will be borne by the customer.

Specifically, these fees may include but are not limited to:

  • Credit card transaction handling fees
  • Bank transfer or other electronic payment handling fees
  • Foreign exchange handling fees (if applicable)
  • Other ancillary fees related to the selected payment method

Cash Payment Limitation

Customers are prohibited from making cash payments exceeding HKD 120,000 in a single day. Any transactions that exceed this limit must be conducted through alternative payment methods.

Credit Card

If the customer chooses to pay by credit card, the customer must provide valid credit card information. The Company has the right to directly deduct any unpaid market losses or other fees from the customer's provided credit card account.

Providing credit card information indicates the customer's acknowledgment that:

  • 客戶是所述信用卡的持有人或已獲正式授權使用該信用卡;
  • 本公司或其收款代理可從客戶的信用卡帳戶扣除未支付的相關款項;

  • The customer is the cardholder or has been duly authorized to use the credit card;
  • The Company or its collection agent may deduct the relevant outstanding amounts from the customer's credit card account;
  • The credit card may be used to lock in the transaction price, as mentioned in Clause 4.1.

Purchase Transaction Payment Deadline

Customers need to pay and settle the full payment within 3 business days after the transaction is recorded. If the Company is unable to receive the full payment within 3 business days, the Company reserves the right to cancel the transaction. The customer will then be responsible for the market loss amount and other fees, as mentioned in Clauses 6 and 7.

Transaction Completion

A purchase transaction is considered complete when the full payment from the customer is received within the deadline specified in Clause 4.5, without any delay, and the Company has performed its principal obligations.

If the Company attempts to deliver the physical gold but is hindered by the customer's acts or omissions, or the Company allows the customer to receive the physical gold, the Company is deemed to have performed its principal obligations.

Upon completion of the transaction, the ownership of the physical gold is considered to have transferred from the Company to the customer.

Adding Funds to the Account

Customers can add funds to their accounts with the Company by cash, bank transfer or bank wire. If there are any bank fees deducted during the remittance process, the Company will credit the customer's account with the actual net amount received. These settled funds in the account can be used to pay for purchase transactions or to lock in transaction prices.

The funds in the customer's account with the Company belong to the customer until they are used for a specific transaction payment or to settle outstanding amounts. These funds must be segregated from the Company's own funds and clearly identified as the customer's funds.

Customer Sale Transactions

Repurchase Conditions

The repurchase prices displayed on the Gold X online store apply only to original products sold by the Company. To meet this requirement, the product must be in its original condition as when it was first sold, including intact packaging and no damage or alteration. If the product or packaging no longer meets the original condition, the Company will conduct further inspection and assessment. This may result in the repurchase price offered by the Company differing from the quoted price on the website. The final repurchase price will be determined at the Company's retail store. The Company reserves the final decision on any disputes.

The Company may also repurchase products not sold by the Company, but they must first be evaluated. The repurchase price for such products will differ from the price for the products directly sold by the Company.

Pricing

The repurchase price will be finalized after the customer bring the product to the Company's retail store and it undergoes a full assessment. Once both parties agree on the repurchase price, that price will be locked.

Sale Transaction Proceeds

Customers can choose to receive the sale transaction proceeds via mailed cheque, bank transfer or bank wire transfer. All payments will be made in Hong Kong dollars to the designated account. If there are any bank fees deducted during the bank transfer or remittance process, these fees will be borne by the customer, and the final amount received by the customer will be the net amount after deducting the relevant bank fees.

To comply with anti-money laundering regulations, the Company will not make payments to third parties. The name of the recipient must match the name on the Company's personal account.

Repurchase Payment Deadline

After the Company receives the customer's gold, the repurchase payment is generally issued within two to three business days after the price is locked. The actual receipt of payment may be affected by bank holidays, the selected payment method, and other unforeseeable factors.

Transaction Completion

The customer's sale transaction is considered complete when the Company has performed its principal obligations. Upon completion of the transaction, the ownership of the customer's gold is considered to have transferred from the customer to the Company.

Transaction Cancellation

If there are circumstances that require the cancellation of a transaction, whether the customer wishes to purchase gold or sell gold to the Company, there may be related market loss amounts that need to be paid. This is because the submitted transaction constitutes a binding agreement between the two parties.

If the customer's purchase transaction is cancelled (e.g., failure to pay the full amount within the specified time), or the customer's sale transaction is cancelled, whether initiated by the customer or the Company, the customer may need to pay a market loss fee. The basis for calculating this fee is whether the market value of gold has decreased or increased during the period from the price lock-in to the transaction cancellation.

For customer purchase transactions cancelled by the Company due to the customer's non-payment, or customer sale transactions cancelled by the Company due to its failure to pay the customer on time, the Company will use the last available pricing published by the London Bullion Market Association on the payment deadline date to calculate the market loss fee.

For customer-initiated cancellations of customer purchase transactions or customer sale transactions, the Company will calculate the market loss fee based on the spot price at the time the customer requests the cancellation.

If there is a market gain, the market loss fee will be equivalent to the difference between the original transaction price and the value at the time of cancellation. If there is a market loss, the market loss fee will not apply.

7. 費用 Fees

For transactions involving physical gold, Gold X may charge the following fees to customers. All fees are calculated in Hong Kong dollars.

Bounced Cheque Fee

If a cheque paid by the customer to Gold X is returned, for reasons including but not limited to fraud, forgery, insufficient funds, account closure, or untraceable account, Gold X will charge the customer an administrative fee of HKD 250.

Purchase and Sale Transaction Cancellation Fee

In addition to the applicable market loss compensation fee, a HKD 300 administrative fee will be charged for transactions cancelled pursuant to Clause 6.

Delivery and Insurance Fees

If the customer requests Gold X to arrange for the transportation or delivery of physical gold, the corresponding delivery and insurance fees must be paid.

For deliveries to remote areas (including within Hong Kong) or high-value orders, additional delivery and insurance fees beyond those specified in Clause 7.3 may be required.

For high-value orders, Gold X may recommend or require transportation by armoured vehicle to a bank or storage service location. All related delivery and armoured vehicle insurance fees will be borne by the customer. After a purchase transaction is submitted, Gold X will provide the customer with a specific quote for the delivery and insurance fees, with the quote based on each individual transaction.

Storage Fees and Storage Account Administrative Fees

If the customer chooses to store the purchased physical gold at Gold X's storage location, it must be collected within 14 days (including the order date and the collection date) from the order date. If not collected within the time period, storage fees will be charged. The storage fees are published on the Gold X website at www.goldx.hk.

The physical gold will not be released unless the customer has paid the storage fees and other applicable fees in full.

Gold X reserves the unilateral discretion to adjust the storage fees without prior notice.

Customer Information Confidentiality and Disclosure

During the transaction process between the customer and Gold X, the Company will acquire and have access to the customer's confidential personal information. The Company will manage and use the customer's personal information in accordance with the provisions of the Personal Data (Privacy) Ordinance. Gold X highly values customer privacy, and the details of the privacy policy are available on the company website.

For delays in the transmission, delivery or execution of customer orders due to failures or interruptions in transmission or communication facilities, or any other factors beyond the Company's reasonable control and foreseeability, the Company shall not be responsible for compensating any resulting losses.

The Company's online trading system is specifically designed to provide efficient and reliable order placement services. However, internet service providers are not 100% stable and reliable, and system failures on their part may also affect the operation of the Company's system. Customers should fully understand that, even though the Company has taken the best measures, the online trading system may still experience failures beyond the Company's control.

Gold X’s Records as Conclusive Evidence

The records kept by Gold X shall be regarded as conclusive evidence of any facts or events pertaining to Transactions (including but not limited to gold purchase or gold sale transactions, price and fees). Customers must verify all information contained on Transaction confirmation slips.

Customers’ signing of confirmation slips shall be deemed as in agreement that all information contained therein as factual and truthful.  Customers must also inform Gold X of any change in personal particulars, for example but not limited to change of name or update of identification documents, as soon as practicable in writing and also submit necessary identification documents and/or other proof acceptable to Gold X.

Deceased Customer Handling

If the customer (an individual or a partner in a partnership) passes away, Gold X will request the authorized party (e.g. the executor) to provide the relevant documentation of the customer's estate, including but not limited to the death certificate, court order, will or trust documents, and estate administration information for verification purposes. After confirming the customer's passing, Gold X will freeze their account and handle the matters according to the instructions in the will or estate administration. The authorized party shall comply with Gold X's related procedures to complete the transfer authorization process.  The customer should ensure that Gold X can obtain the aforementioned documents when necessary.

Interest and Fees on Funds

All monies paid directly to Gold X will not be interest-bearing.  Any bank charges or fees related to the Customer's deposits or transfers will be deducted from the Customer's account balance.

Binding Effect

This agreement is binding on the parties to the agreement and their successors, legal representatives and permitted assignees.

Severability

If any term of this agreement is deemed invalid, illegal or unenforceable, it will not affect the validity and enforceability of the other terms.

Final Decision

In the event of any dispute, Gold X reserves the right to make the final decision.

Language

If there is any inconsistency or conflict between the Chinese and English versions of this agreement, the English version shall prevail.

Governing Law and Jurisdiction

This agreement is governed by and interpreted in accordance with the laws of Hong Kong. The parties agree to submit all matters or disputes related to this agreement to the courts of Hong Kong (rather than the courts with exclusive jurisdiction), and accept their jurisdiction, unless otherwise specified in this agreement.

Other jurisdictions' judgments and rulings that go against the above jurisdiction clause may not provide the same level of protection for the litigant's rights as in Hong Kong, and risk not being recognized or enforced in Hong Kong due to specific circumstances. For example, any litigation and judgments on disputes related to this physical gold leasing transaction in Mainland China would not be recognized or enforced by the Hong Kong courts, as they would breach the requirements for the parties' agreed jurisdiction under the Arrangement for Mutual Recognition and Enforcement of Civil and Commercial Judgments between the Mainland and Hong Kong.

Given the differences in underlying legal concepts between jurisdictions, the same potential dispute may result in different judgement outcomes under different prediction rules, and even with the same judgement, the performance content may vary. Therefore, if the Customer is unsure about the Hong Kong laws applicable to the physical gold leasing transaction, they should consult an independent legal professional.
